1. Agreement to Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and VoxArc Lab, a company registered in Toronto, Ontario, Canada ("Company," "we," "us," or "our"). By accessing and using our website at voxarc.ai and our services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services for lawful purposes only. You agree not to:

5. Payment Terms

If you subscribe to our paid Services, you agree to:

• Pay all fees and charges as described on our pricing page
• Provide accurate billing information
• Authorize us to charge your payment method for recurring subscriptions
• Notify us of any changes to your payment information

All fees are exclusive of applicable Harmonized Sales Tax (HST) in Ontario. You are responsible for paying all taxes applicable to your location.

6. Refund Policy

We offer a 30-day money-back guarantee for annual subscriptions. If you are not satisfied with our Services within 30 days of purchase, you may request a full refund. Refunds must be requested in writing to [email protected]. Monthly subscriptions are non-refundable but may be cancelled at any time.

7. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY CANADIAN LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding the accuracy, completeness, or reliability of our content
• Warranties that our Services will be uninterrupted, error-free, or secure

We do not warrant that our Services will meet your requirements or that defects will be corrected.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY CANADIAN LAW, IN NO EVENT SHALL VOXARC LAB, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your use or inability to use our Services
• Damages arising from unauthorized access to or alteration of your data

Our total liability for any claim shall not exceed the amount you paid for our Services in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless VoxArc Lab, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of our Services, your violation of these Terms, or your infringement of any third-party rights.

10. Referral Program Terms

Our referral program allows you to earn rewards by referring others to VoxArc Lab. By participating, you agree to:

• Use your unique referral code only for legitimate referrals
• Not engage in fraudulent or misleading referral practices
• Not purchase your own referral link or create fake conversions
• Accept that rewards are subject to verification and may be forfeited if fraud is detected
• Comply with all applicable advertising and marketing laws

We reserve the right to modify or terminate the referral program at any time with 30 days' notice.

11. Termination

We may terminate or suspend your account and access to our Services at any time, with or without cause, and with or without notice. Causes for termination include:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Abuse of our Services or other users

Upon termination, your right to use our Services ceases immediately.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario for the resolution of any disputes arising from these Terms or your use of our Services.

13. Dispute Resolution

Before pursuing legal action, we encourage you to contact us to resolve any disputes. If informal resolution is unsuccessful, you agree to attempt mediation before initiating legal proceedings. Mediation shall take place in Toronto, Ontario.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed, and the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and VoxArc Lab regarding your use of our Services and supersede all prior agreements, understandings, and negotiations.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our Site and updating the "Last updated" date. Your continued use of our Services following the posting of revised Terms means you accept and agree to the changes.
